# The Chief Executive Officer

The Chief Executive Officer (CEO) sits at the top of Ammetra Corporation and holds final decision-making authority over the entire company.

## Role and Authority

The CEO leads every part of the enterprise: the product divisions, the corporate shared services, and the business units that serve our markets around the world. All executive authority flows from the CEO, who delegates responsibilities to the executive team while staying accountable for the results.

## Key Responsibilities

- **Ultimate executive authority:** Hold final decision-making power over the product divisions, shared services, and global market operations.
- **Strategic vision:** Set the company's vision, culture, and long-term goals, and direct the C-Suite and division leaders on what the company needs to achieve.
- **Board and stakeholder management:** Answer directly to the Board of Directors, manage shareholder expectations, and serve as the public face of the company.
- **Resource and capital allocation:** Hold final signature authority on how capital, headcount, and infrastructure are distributed. The executive councils prepare the budget; the CEO approves it.
- **Executive delegation:** Rely on the Chief Operating Officer to run daily internal operations and on the Chief Strategy Officer for high-level strategic advice. This frees the CEO to focus on market positioning and growth.

## Who Reports to the CEO

| Direct report | Purpose |
| --- | --- |
| Chief Operating Officer / President and the C-Suite | Day-to-day operations and leadership of each functional domain |
| Chief Strategy Officer and the Executive Steering Committee | Strategic alignment, budget planning, and unified advice |
| Division Executive Vice Presidents | Leadership of the Core SaaS, Cloud Services & Platform, and Emerging Technologies / AI & ML divisions |
| Regional and Global Division Presidents | Leadership of the business units that serve our markets |
| Chief Compliance Officer | Independent oversight, with a direct line to the Board of Directors |

## How the CEO Makes Decisions

The CEO steps in to make the final decision once the Executive Steering Committee has worked through the technical trade-offs and budget impacts. Decisions that only affect one division are delegated to that division's leadership whenever possible.
